1. Introduction and acceptance
These Terms & Conditions govern access to the NeoIPS website and all enquiries, quotations, orders and services supplied through it. By using the website, submitting a request or placing an order, you agree to these Terms. Any different terms must be accepted by us in writing.
2. About NeoIPS
NeoIPS is the commercial brand operated by Neocorum SRL, a company incorporated in Romania. We source and supply industrial automation components worldwide. Full statutory and billing details are included in our formal quotations, invoices and order confirmations.
3. Website purpose and product information
Website content is provided for general product identification and purchasing information. Images, descriptions, specifications, availability and lead times may be supplied by manufacturers or independent suppliers and are subject to confirmation. Customers remain responsible for confirming that a product is suitable for their application.
4. Product condition
Products are offered in the condition stated on the product page, quotation or order confirmation:
- New — unused product supplied in original or suitable replacement packaging.
- Used — previously installed or operated product, inspected and supplied in the condition described.
Packaging, cosmetic appearance, production revision and included accessories may vary unless expressly confirmed in writing.
5. Quotations, prices and order acceptance
Some products may be purchased at the displayed price, while others are supplied only after a Request for Quotation. Prices exclude VAT, customs duties, insurance, shipping and other charges unless stated otherwise.
A submitted order or accepted quotation is an offer to purchase. No binding contract exists until NeoIPS issues a written order confirmation. We may correct obvious pricing or specification errors before acceptance.
6. Payment
Orders placed through the website are paid by bank transfer. A submitted order remains subject to NeoIPS confirmation of product availability and final freight. After confirmation, NeoIPS sends the invoice and bank details to the business email provided at checkout. Customers should not transfer funds before receiving that invoice and remain responsible for bank fees, taxes, import costs and other charges stated in it.
7. Availability, lead times and delivery
NeoIPS delivers worldwide. Availability and dispatch dates are estimates based on supplier information and are confirmed where possible after order acceptance. For available products, dispatch is typically estimated at 5–7 business days, but this is not a guaranteed delivery date.
Timing may change because of supplier availability, product condition, testing, export controls, destination, customs or carrier delays. Risk, title, delivery terms and any applicable Incoterm are stated in the quotation or order confirmation.
8. Inspection and acceptance
Customers should inspect shipments promptly and notify NeoIPS in writing of visible damage, shortages or an incorrect item within five business days of delivery. Carrier damage should also be recorded on the delivery documents and supported by photographs and packaging evidence.
9. Warranty
New and Used products supplied by NeoIPS include a standard 12-month warranty from the delivery date unless a longer period is expressly stated. Longer coverage may apply where it is provided by the manufacturer.
Warranty coverage is limited to repair, replacement or refund at our reasonable option. It does not cover incorrect installation, misuse, unauthorised repair, modification, unsuitable operating conditions, normal wear, consumables or damage caused by other equipment.
10. Returns, cancellations and RMA
Returns require prior written authorisation and an RMA reference. Products sourced specifically for a customer, obsolete items, configured products and opened sealed goods may be non-cancellable and non-returnable unless defective. Approved returns must be securely packed and sent according to the RMA instructions.
11. Independent supply and intellectual property
NeoIPS is an independent supplier and is not necessarily an authorised distributor of every manufacturer shown. Manufacturer names, trademarks, product images and part numbers belong to their respective owners and are used only for identification. Website content and the NeoIPS identity may not be reproduced without permission.
12. Export controls and compliance
Customers must comply with applicable export, sanctions, anti-bribery and import laws. We may request end-user, destination and intended-use information and may refuse or cancel a transaction where supply would breach a legal or regulatory obligation.
13. Liability
To the maximum extent permitted by law, NeoIPS is not liable for indirect or consequential loss, loss of production, profit, contracts, data or business opportunity. Our aggregate liability relating to a product or order will not exceed the amount paid for that product or order, except where liability cannot legally be limited.
14. Governing law and disputes
These Terms are governed by Romanian law. The parties will first attempt to resolve any dispute in good faith. Where no settlement is reached, the competent courts in Romania will have jurisdiction, subject to mandatory rights that cannot be excluded.
